Fees for our services will be specified in individual service agreements. Payment terms, including due dates and accepted payment methods, will be outlined in your service agreement. Late payments may be subject to interest charges and may result in suspension of services.
We respect the confidentiality of information shared with us during the course of providing services. Both parties agree to maintain the confidentiality of proprietary and sensitive information disclosed during the business relationship, subject to the terms of any separate confidentiality or non-disclosure agreement.
We strive to provide high-quality services, but we make no warranties or representations about the accuracy, reliability, or completeness of our services. Our services are provided on an as-is and as-available basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent permitted by applicable law, PEM Electrolyser Corporation shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of our services.
You agree to indemnify, defend, and hold harmless PEM Electrolyser Corporation and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your use of our services or violation of these Terms.
We reserve the right to terminate or suspend your access to our services at any time, with or without cause or notice. Upon termination, your right to use our services will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising from these Terms or our services shall be resolved through good faith negotiations. If negotiations fail, disputes shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the Last Updated date. Your continued use of our services after such changes constitutes acceptance of the modified Terms.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
These Terms, together with any service agreements or statements of work, constitute the entire agreement between you and PEM Electrolyser Corporation regarding the use of our services and supersede all prior agreements and understandings.
